  1. Our terms and conditions with you
    1. Our terms and conditions. These Terms and Conditions (“T&Cs”) govern your access to and use of EngageReward (the “Platform”), a proprietary employee advocacy and incentive-based engagement solution provided by Just Grey Digital Marketing (“JustGrey”, “we”, “us”, or “our”), a digital marketing agency registered in Dubai, United Arab Emirates.

            By registering with, accessing, or using EngageReward and/or any associated         services (“Services”), you agree to be bound by these T&Cs.

  1. Entire agreement. These T&Cs are the entire agreement between you and us in relation to its subject matter. You acknowledge that you have not relied on any statement, promise or representation or assurance or warranty that is not set out in these T&Cs.
  2. Language. These T&Cs are made only in the English language.
  1. Your obligations
    1. It is your responsibility to ensure that:
      1. you cooperate with us in all matters relating to the Services; 
      2. you maintain the confidentiality of your login credentials;
      3. you do not engage in any unauthorised or fraudulent activity (e.g. fake engagements, spam, etc.);
      4. you notify us immediately of any unauthorised use of your account; and
      5. you provide us with such information we may reasonably require in order to supply the Services, and ensure that such information is complete and accurate in all material respects;
    2. You acknowledge that:
      1. we reserve the right to amend any terms relating to rewards and/or points (including in relation to their redemption and expiry) at any time without prior notice and at our sole discretion;
      2. points are non-cash, non-transferable, and redeemed according to your company’s reward catalogue;
      3. you must not disclose confidential information (e.g., business strategies, reward algorithms, etc.) relating to the Services;
      4. we are in no way responsible for reward redemption or delivery; and
      5. We provide the Services “as-is” and do not provide any related guarantees relating to the use or enjoyment of the Services.
    3. If our ability to perform the Services is prevented or delayed by any failure by you to fulfil any obligation listed in clause 2.1 (Your Default):
      1. we will not be responsible for any costs or losses you sustain or incur arising directly or indirectly from our failure or delay to perform the Services; and
      2. it will be your responsibility to reimburse us on written demand for any costs or losses we sustain or incur arising directly or indirectly from Your Default.

  1. Intellectual property rights
    1. All intellectual property rights in or arising out of or in connection with the Services will be owned by us.
  2. How we may use your personal information
    1. We will use and process your personal information in accordance with our privacy policy, the terms of which are incorporated into these T&Cs.
  3. Limitation of liability
    1. We will not be liable to you, whether in contract, tort (including negligence), for breach of statutory duty, or otherwise, arising under or in connection with these T&Cs for:
      1. loss of profits;
      2. loss of sales or business;
      3. loss of agreements or contracts;
      4. loss of anticipated savings;
      5. loss of use or corruption of software, data or information;
      6. loss of or damage to goodwill; and
      7. any indirect or consequential loss.
    2. Our total liability to you arising under or in connection with these T&Cs, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, will be limited to AED 100.
    3. This clause will survive termination of these T&Cs.
  4. Termination and amendment
    1. Termination. Without limiting any of our other rights, we may suspend the performance of the Services with immediate effect, in our sole discretion.
    2. Amendment. We reserve the right to amend these T&Cs at any time without notice to you.
  5. Events outside our control
    1. We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these T&Cs.
